PlusOne Referral Program
1. Overall Program Description
These Novo “PlusOne Referral Program” terms and conditions (“Terms”) offered by Novo Platform Inc. (“Novo”) govern the referral from a Referring User (as defined below) to a Referred User (as defined below), where the Referred User opens a Novo business checking account (“Account”) and the Referring User and the Referred User both meet the Qualifications (as defined below) (all of the aforementioned, the “PlusOne Referral Program”). 2. Definitions
- "Calendar Year" means the period beginning January 1 and ending December 31 of the same year.
- “Account Opening Date” is the date that the Referred User’s Account was opened by Novo.
- “Novo Unique Referral Code” is a code unique to the Referring User that MUST be used by the Referred User in order to become a Qualified Account.
- “Authorized User” means any user authorized on the Account in accordance with the .
- “Qualified Account” is a new Novo Account that is opened as a result of the PlusOne Referral Program that satisfies all of the Qualifications outlined in these Terms.
- “Referred User” is the recipient of the Novo Unique Referral Code which has been sent to the Referred User by the Referring User.
- “Referring User” is the Novo user with an Account that sends the Novo Unique Referral Code to the Referred User.
- “Credits” means incoming deposits into the Referred User’s Account from sources outside of Novo, including ACH credits, wire transfers, mobile or check deposits. Internal transfers between Novo accounts, refunds, reversals, returns, courtesy credits issued by Novo, and any PlusOne Referral Bonus do not count as Credits for purposes of these Terms.
- “PlusOne Referral Bonus” is an Account credit issued to the Referred User and/or the Referring User in the amounts set forth in Section 3.B.
- “Eligible Promotional Referrer” means a Referring User explicitly selected by Novo and who directly received the designated promotional offer via email, in-app notification, or other direct data-offer distribution channels. This promotional offer is non-transferable and attaches solely to the specific Account to which Novo directed the offer (“Designated Account”). For Referrers with multiple Accounts, the offer applies exclusively to the Designated Account and all referral activity will be processed through the Designated Account only.
- "Promotional Launch Date" means June 2, 2026, the date on which the Promotional Terms first became available to Eligible Promotional Referrers.
- “Promotional Cutoff Date” means 11:59 PM Eastern Time on the date thirty (30) calendar days after the Promotional Launch, July 02, 2026. The Promotional Cutoff Date is the same date for all participants, regardless of when a Novo Unique Referral Code was sent or received, or when a Referred User submitted an application.
- “Promotional Terms” means the PlusOne Referral Bonus amounts and Qualifications set forth in Section 3. The conditions for the Promotional Terms to apply are set forth in Section 4.
- “Standard Terms” means the Novo Referral Program terms and conditions made generally available to all Novo Account holders, as posted at Novo .The Standard Terms govern any referral that does not qualify for the Promotional Terms under these Terms.
- “Application Submission Date” means the date Novo’s systems first record receipt of a complete account application (submitted through Novo's online application flow, complete with all information and documentation Novo requires at the time of submission) from the Referred User.
3. Qualifications
a. General Requirement
In order for both the Referred User and the Referring User to each qualify for and receive the applicable PlusOne Referral Bonus, the Referred User must meet ALL of the following general requirements:
- The Referred User must not have previously opened an Account;
- The Referred User must use the Referring User’s Novo Unique Referral Code when applying for a new Account;
- The Referred User must be approved and open a new Account (which approval and Account opening may occur after the Promotional Cutoff Date without affecting eligibility, provided the Application Submission Date falls within the eligibility window described in these Terms);
b. Promotional Terms
- Promotional Bonus Amounts:
- Referring User Bonus: $200.00 for their first Qualified Account under the Promotional Terms and $40.00 per Qualified Account thereafter (subject to the annual cap outlined in Section 4). For clarity, Qualified Accounts earned by the same Referring User under the Standard Terms earlier in the same Calendar Year do not exhaust the $200.00 PlusOne Referring User Bonus but may count towards the annual cap outlined in Section 4.
- Referred User Bonus: $200.00. Each Referred User may claim this bonus only once, regardless of the number of referrals received. All Referred User Bonus claims remain subject to the Promotional Cutoff Date deadline.
- Promotional Qualification Requirements:
- The Referred User must have Credits to their Novo account totaling $1,000.00 or more within 30 days of the Account Opening Date;
- An external deposit must be made by Authorized User on the Referred User’s Account from a verified funding source held outside of Novo and not controlled by the Referring User; and
- After achieving a balance of $1,000.00 or more, the Referred User must maintain a daily balance of $1,000.00 or greater in their Novo business checking account for the next 60 days.
c. Program Applicability
- (These Promotional Terms apply only if: (1) the Referring User is verified by Novo as an Eligible Promotional Referrer; (2) the Referred User’s Application Submission Date occurs on or after the Promotional Launch Date and on or before the Promotional Cutoff Date; and (3) the conditions in Section 4 are met. If any of these are not met, the Standard Terms apply instead.)
4. Program Limitations
- For Eligible Promotional Referrers, the $200.00 PlusOne Referring User Bonus payout applies only to the Referring User’s first Qualified Account where the Referred User’s Application Submission Date occurs on or after the Promotional Launch Date and on or before the Promotional Cutoff Date. For each additional Qualified Account where the Referred User’s Application Submission Date occurs on or after the Promotional Launch Date and on or before the Promotional Cutoff Date, the Referring User will earn a $40.00 per Qualified Account provided all Promotional Qualification Requirements are satisfied.
- For purposes of determining whether the Promotional Terms apply, eligibility is determined as of the Referred User's Application Submission Date as recorded by Novo's systems, and the Promotional Terms apply where that Application Submission Date occurs on or after the Promotional Launch Date and on or before the Promotional Cutoff Date. The 30 day Credits window and the 60 day balance-maintenance window described in the Promotional Qualification Requirements are measured separately from the eligibility determination above and run from the Account Opening Date and may, and typically will, extend beyond the Promotional Cutoff Date. Novo's system records control the determination of all dates and Qualifications under these Terms.
- If the Referring User is not a designated Eligible Promotional Referrer, or if the Referred User's Application Submission Date does not occur on or after the Promotional Launch Date and on or before the Promotional Cutoff Date, the referral automatically defaults to and is governed by the Standard Terms.
- The PlusOne Referral Program does not have a limit to the number of referrals that can be made; however, Referring Users may only receive Referral Bonuses for up to 10 Qualified Accounts per Calendar Year total. The cap on the Referring User Bonus does not affect the Referred User's eligibility to receive the applicable Referred User Bonus.
- Participants in the PlusOne Referral Program are not eligible to participate in any other Novo promotional offer, bonus program, or referral campaign in connection with the same Account. Offers may not be combined or stacked within the Calendar Year.
- Each Novo Unique Referral Code is generated for a specific Referring User. Once the Novo Unique Referral Code has been used by a Referred User, Novo cannot reverse its use or application. Each Referred User may only use one Novo Unique Referral Code to enroll in a Novo account, regardless of whether they received multiple codes.
- Referring Users may not refer themselves or any business they own or control. Novo may, in its sole discretion, treat as ineligible any referral between parties sharing common ownership, signatory authority, beneficial ownership, taxpayer identification number, address, device fingerprint, login credentials, or funding source.
- A Referring User accepts these Terms by sending or sharing their Novo Unique Referral Code with any prospective Referred User. A Referred User accepts these Terms by entering a Novo Unique Referral Code during Novo's online application flow or otherwise indicating acceptance through Novo's enrollment process. By doing so, each user represents that they have read, understood, and agreed to be bound by these Terms, the Novo Business Account Agreement, the Novo Terms of Use, and the Novo Privacy Notice.
- The Referred User acknowledges that payment of the Referral Bonus will result in the Referring User’s knowledge of the Referred User’s establishment of an Account.
5. Novo’s control of the program
- Novo reserves the right, in its sole and absolute discretion, to terminate, suspend, or modify the PlusOne Referral Program, including these Terms, the Referral Bonus amounts, the Qualifications, the Promotional Cutoff Date, and any other element of the program, in whole or in part, at any time, with or without advance notice. Except as expressly confirmed by Novo in writing, no Referral Bonus is earned, vested, or payable until all applicable Qualifications have been fully satisfied and Novo has confirmed eligibility. Termination, suspension, or modification of the PlusOne Referral Program will not affect Referral Bonuses already paid in accordance with these Terms prior to the effective date of the change.
- Without limiting the foregoing, Novo may terminate or suspend participation by any Referring User or Referred User if Novo finds or reasonably believes that the user is manipulating or otherwise abusing the process, fairness, or integrity of the PlusOne Referral Program, or has otherwise become ineligible. Any Referral Bonus earned through fraudulent activity or activity in violation of these Terms is null and void, and Novo may demand repayment.
- The PlusOne Referral Bonus is paid by Novo within 30 calendar days after the Referred User has met all Qualifications, which are deemed met at the conclusion of the applicable balance maintenance period (60 days). Novo may delay payment pending routine fraud, sanctions, and account-integrity review for a reasonable period not to exceed 60 days from the conclusion of the balance maintenance period; provided, however, that where Novo has reasonable cause to suspect fraud or a violation of these Terms, Novo may extend the review period as reasonably necessary to complete its investigation.
6. Regulatory & Banking Disclosures
- As a condition of participating in these Terms, the Referring User and Referred User acknowledge and agree that additional agreements govern their relationship with Novo, including but not limited to the Novo Terms of Use and Privacy Notice.
- PlusOne Referral Bonus is considered miscellaneous income and may be reportable to the IRS on Form 1099-MISC (or Form 1042-S, if applicable).
